Lune Synth Terms of Service

Effective date: August 13, 2026

1. Agreement To These Terms

These Terms of Service ("Terms") govern access to and use of the Lune Synth website, waitlist, mobile applications, beta programs, and related services (collectively, the "Service"). The Service is operated by Griffin Kwan Rutherford, an individual doing business as Coherascent Labs, a Tano Holdings brand ("we," "us," or "our").

The Service is currently operated by an individual. We expect to transfer it to a newly formed affiliated entity. If that happens we will post updated Terms naming the new operator, and your continued use after the stated effective date will constitute acceptance, as described in Section 21.

By creating an account, joining the waitlist, accepting a beta invitation, or using the Service, you agree to these Terms and acknowledge the Privacy Policy. If you do not agree, do not use the Service.

If you use the Service for a school, employer, or other organization, you represent that you have authority to accept these Terms for that organization. A separate written agreement controls if it conflicts with these Terms.

2. What Lune Synth Does

Lune Synth is a study tool that lets learners submit handwritten work, images, typed responses, voice transcripts, notes, and course materials. The Service uses artificial intelligence and rule-based checks to:

  • read and organize submitted work;
  • provide rubric-grounded scores and step-level feedback;
  • identify possible mistakes and suggest practice;
  • generate study paths, missions, quizzes, and progress signals; and
  • support text, voice, and image-based learning workflows.

References to subjects or levels from "Pre-K through PhD" describe the intended range of learning materials. They do not mean that every subject, level, feature, or age group is currently supported or that a child may independently create an account.

3. Eligibility, Children, And School Use

Direct Accounts

You must be at least 13 years old to create or use a direct-to-consumer account. If you are under the age of legal majority where you live, you may use the Service only with permission from a parent or legal guardian who agrees to these Terms.

The initial beta and general waitlist are operated from the United States and may be offered to participants in more than one country. Availability may vary by region, and by joining you agree that your information will be handled as described in these Terms and our Privacy Policy regardless of where you access the Service.

During the initial beta, a child under 13 may not independently create an account, join the general waitlist, or submit personal information through the general Service. This is a limitation of the current account and consent controls, not a statement that Lune Synth will never support younger learners.

An under-13 learner may use Lune Synth only through a parent-managed or verified school-managed experience that we expressly make available after implementing the required privacy controls and obtaining verifiable parental consent or valid school authorization. Until we announce such an experience, the ability to process elementary-level learning material does not make the general Service available for independent use by a child under 13.

If we learn that personal information was collected from a child in a way not permitted by law, we may suspend the account and delete the information.

Schools And Educators

Consumer accounts are not a substitute for an approved school deployment. School-directed use, especially by children under 13, requires a separate written agreement and appropriate privacy, security, consent, and data-control terms. Schools and educators are responsible for obtaining permissions they are legally required to obtain and for using the Service consistently with their policies.

When we process education records for a school under a written agreement, we will process those records only for the contracted educational purpose and under the school's direction, subject to applicable law.

4. Accounts And Security

You agree to provide accurate account information, keep your credentials confidential, and promptly notify us of suspected unauthorized access. You are responsible for activity through your account unless prohibited by law.

You may not share an account in a way that defeats access limits, impersonate another person, or use another person's work without authorization. We may require identity, age, or authorization checks when reasonably necessary to protect users or comply with law.

5. Waitlist And Beta Service

Joining the waitlist does not guarantee admission, a launch date, feature availability, or continued access. We may admit users in cohorts, impose usage limits, restrict subjects or submission types, and pause or end a beta.

Beta features may be incomplete, inaccurate, unavailable, or changed without notice. Data created during a beta may not carry into a later release. Do not rely on a beta as the only copy of important work.

Beta builds are distributed through Apple TestFlight and Google Play testing tracks. Your use of those channels is also governed by Apple's and Google's own terms, and beta builds stop working on the expiration schedule those platforms set. We may add testers, remove testers, or end a testing track at any time. If you leave the cohort or a track closes, you may lose access to the build and to data held only inside it.

You may provide candid beta feedback, but you must not attempt to access other users' information or disclose nonpublic security details in a way that creates risk. Report suspected vulnerabilities privately to griffin@lunesynth.com.

6. Beta Promotional Offer

The landing page advertises two months free and a lifetime 50% discount on Lune Synth Pro as a limited-time offer for the first 100 eligible beta users. Unless the offer page states otherwise:

  • waitlist signup alone does not earn the offer;
  • the offer is limited to invited beta users who activate by any disclosed deadline and keep an eligible account in good standing;
  • it is limited to one person and one account, is nontransferable, has no cash value, and cannot be combined with another discount unless we say otherwise;
  • "lifetime" means for as long as the eligible user maintains the account and Coherascent continues to offer a substantially equivalent Lune Synth Pro subscription;
  • the discount may exclude taxes, app-store charges, add-ons, usage overages, institutional plans, or materially different future products; and
  • any price, renewal term, eligibility condition, and cancellation method will be shown before a paid subscription begins.

We may deny or revoke an offer obtained through fraud, duplicate accounts, or abuse. We will not retroactively remove an earned discount merely because the beta ends, except as allowed by the disclosed offer terms or required by law.

7. Educational And AI Limitations

Lune Synth provides formative study support. It is not a school, accredited educational institution, official grading authority, or replacement for a teacher, tutor, accessibility professional, or other qualified expert.

AI-generated transcription, scoring, feedback, hints, and study material can be incomplete, biased, or wrong. Handwriting, diagrams, voice, context, and subject-specific notation may be misunderstood. A displayed score is not an official grade unless an authorized school separately adopts it under its own policies.

You are responsible for checking important results against the original problem, course materials, rubric, and instructor guidance. Do not use the Service for a high-stakes decision about admission, discipline, disability, employment, health, safety, or legal rights.

8. Academic Integrity

The Service is designed for learning after the user does the work. You must follow the rules of your school, course, test, employer, and content owner.

You may not use the Service to:

  • cheat on a closed-book assessment or evade exam controls;
  • submit AI output or another person's work as your own when prohibited;
  • obtain or distribute stolen tests, answer keys, or confidential materials;
  • falsify academic records, identity, progress, or credentials; or
  • help another person do any of the above.

We may limit or suspend use that appears to undermine academic integrity or the safety of the Service.

9. Your Content

"User Content" includes scans, photos, handwriting, typed answers, voice recordings and transcripts, course documents, prompts, profile information, and other material you submit.

You retain ownership of your User Content. You grant Coherascent a nonexclusive, worldwide, royalty-free license to host, copy, transmit, format, analyze, and display User Content only as reasonably necessary to provide, secure, troubleshoot, support, and evaluate the Service; comply with law; and enforce these Terms. This license ends when the content is deleted from our systems, subject to reasonable backup, legal, security, and dispute-retention periods.

You represent that you have the rights and permissions needed to submit User Content. Avoid uploading Social Security numbers, financial account details, medical records, confidential student records, or other highly sensitive data unless an expressly approved workflow requires it.

Authorized personnel may review limited User Content when needed for support, abuse prevention, a grading dispute, quality evaluation, or legal compliance. Access is logged, limited, and consistent with the Privacy Policy.

We do not use private User Content to train a general-purpose AI model without express permission. Service providers may process User Content under their business or API terms to perform requested functions.

10. Acceptable Use

You may not:

  • violate law or another person's rights;
  • upload malware or content that is unlawful, exploitative, threatening, or intended to facilitate harm;
  • probe, scan, bypass, or disrupt security, rate limits, access controls, or usage caps;
  • reverse engineer the Service except where law expressly permits it;
  • scrape, resell, sublicense, or commercially exploit the Service or its output without written permission;
  • use automated means to create accounts or generate excessive requests;
  • use output to make consequential decisions about another person without lawful authority and meaningful human review; or
  • use the Service to develop or benchmark a competing model or product without written permission.

We may investigate suspected violations and cooperate with lawful requests.

11. Coherascent Content And Trademarks

The Service, software, interfaces, grading structures, visual systems, documentation, and other materials we provide are owned by Coherascent or its licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable right to use the Service for personal educational purposes or an approved organizational purpose.

Coherascent Labs, Lune Synth, associated logos, and related names and designs are trademarks or brand assets of Coherascent. Coherascent Labs and Lune Synth are part of Tano Holdings. These Terms do not grant a license to use them.

12. Third-Party Services

The Service relies on third parties for authentication, hosting, storage, artificial intelligence, transcription, app distribution, payment processing, and other infrastructure. Third-party terms apply to features such as Google or Apple sign-in and app-store purchases.

We are not responsible for third-party products outside our control. We may replace providers or change integrations as the Service evolves.

If you download Lune Synth from the Apple App Store, your use of the iOS application is also governed by Apple's Licensed Application End User License Agreement (the "Apple Standard EULA"), available at https://www.apple.com/legal/internet-services/itunes/dev/stdeula/. To the extent these Terms conflict with the Apple Standard EULA as applied to the iOS application, the Apple Standard EULA controls for that application. Apple is not a party to these Terms and is not responsible for the Service or its content, but Apple is a third-party beneficiary of these Terms and may enforce them as they relate to your use of the iOS application.

13. Subscriptions, Billing, And Cancellation

Lune Synth Pro is a paid subscription. The beta cohort is free. No charge occurs during the beta unless we enable in-app purchasing and you expressly authorize a purchase. Before charging you, we will show the price, billing interval, included usage, renewal terms, and available cancellation method. A subscription will renew automatically only when that is clearly disclosed and you authorize it.

Purchases made through Apple, Google, or another platform are also governed by that platform's billing and refund rules. We do not receive complete payment-card numbers from payment processors. Taxes may apply.

You may cancel a subscription through the purchase platform or other method shown at checkout. Cancellation stops future renewal but does not create a refund for the current period, except where required by law or stated in the applicable refund policy.

14. Feedback

If you send ideas or suggestions about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation. This does not give us ownership of your User Content.

15. Suspension And Termination

You may stop using the Service at any time. If you have an account, you can delete it from inside the Lune Synth app. Guest users, who have no account to delete, may request deletion as described in the Privacy Policy.

We may suspend or terminate access when reasonably necessary to address a Terms violation, security risk, legal requirement, unpaid charge, misuse, or discontinuation of the Service. When practical, we will provide notice and an opportunity to export or retrieve eligible data.

Sections that by their nature survive termination, including ownership, disclaimers, liability limits, disputes, and accrued payment obligations, will survive.

16. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available." Coherascent disclaims implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, and uninterrupted availability.

We do not guarantee any learning outcome, score improvement, admission result, credential, compatibility, uptime, error correction, or preservation of data. Some jurisdictions do not allow certain disclaimers, so some of this section may not apply to you.

17. Limitation Of Liability

To the maximum extent permitted by law, Coherascent and its officers, employees, contractors, affiliates, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost data, profits, opportunities, goodwill, or educational outcomes.

To the maximum extent permitted by law, the total liability of those parties for all claims arising from the Service will not exceed the greater of:

  • the amount you paid Coherascent for the Service during the 12 months before the event giving rise to the claim; or
  • USD $100.

These limits do not apply where prohibited by law or to liability that cannot legally be limited.

18. Organizational Indemnity

If you use the Service on behalf of a business, school, or other organization, that organization will, to the extent permitted by law, defend and indemnify Coherascent against third-party claims arising from its unlawful User Content, its violation of these Terms, or its use of the Service outside the scope of an applicable written agreement.

19. Governing Law And Venue

These Terms and any dispute arising from them are governed by the laws of New Mexico, without regard to its conflict-of-laws rules, except where a mandatory consumer-protection law of your home jurisdiction provides otherwise. Subject to Section 20 and to any non-waivable right you have to bring a claim elsewhere, the state and federal courts located in New Mexico will have jurisdiction over disputes not otherwise resolved.

20. Informal Dispute Resolution

Before filing a formal claim, you and Coherascent agree to try in good faith to resolve the dispute for 30 days after written notice, except for urgent requests for injunctive relief.

21. Changes To The Service Or Terms

We may update the Service and these Terms. If a change materially affects your rights, we will provide reasonable notice through the Service, by email, or by another appropriate method. The updated Terms will state a new effective date. Continued use after the effective date constitutes acceptance where permitted by law.

22. General Terms

Entire Agreement. These Terms, together with the Privacy Policy and any terms expressly incorporated by reference or presented at the point of a specific feature or purchase, are the entire agreement between you and Coherascent regarding the Service and supersede any prior or contemporaneous understanding on that subject.

Severability. If any provision of these Terms is held unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Assignment. You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, reorganization, financing, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.

No Waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later. A waiver is effective only if it is in writing and signed by an authorized representative of Coherascent.

Notices. We may give you notice through the Service, by email to the address associated with your account, or by another reasonable method. You must send legal notices to griffin@lunesynth.com. Notices are effective when delivered.
